Ford's Mulally enjoys $34.5 million payday

Ford CEO Alan Mulally is $34.5 million richer after shares granted two years ago vested this week.

The payout is sure to be a sore subject among some Ford factory workers, who have cited Mulally's pay when they have voted against contract changes. Mulally made $26.5 million in 2010, making him the ninth highest-paid CEO in the U.S. last year, according to calculations by The Associated Press. United Auto Workers President Bob King has called Mulally's pay "morally wrong."

But the company says Mulally's compensation is fair because it's tied to the shares' success.

"Our compensation philosophy is to align the interests of our leadership with those of our shareholders," Ford said in a statement Tuesday. "Ford's stock was $1.96 a share at the time of the 2009 awards, and is over $12 a share today. That is a more than a 500 percent increase, which benefits all stakeholders in the Ford turnaround."

Mulally was given 4.8 million stock units for his performance in 2009, a pivotal year in the company's turnaround when it posted its first annual profit since 2005. Ford withheld 1.9 million shares for taxes. The remaining 2.85 million units were converted to shares worth $34.5 million at Tuesday's closing stock price of $12.09.

The stock awards were disclosed Tuesday in a regulatory filing. Mulally's 2011 salary and other compensation will be released later this spring.

Mulally also received 1.2 million stock options that will fully vest in three years. Those options have a strike price of $12.49 per share. He was also granted 376,000 stock units for his 2011 performance that will convert to shares in 2014.

Mulally, 66, has been widely credited with turning Ford around since he was hired as CEO in 2006. He made the critical decision to mortgage most of the company's assets ? including its Blue Oval logo ? for $23.5 billion to fund a turnaround. That decision helped the company avoid taking government aid and filing for bankruptcy in 2009, two steps that rivals General Motors Co. and Chrysler Group were forced to take. Mulally also has streamlined global operations and introduced successful new models like the Ford Explorer SUV and Ford Fiesta subcompact.

In an interview with The Associated Press last fall, Mulally defended his compensation, saying it is entirely tied to the success of Ford.

"The vast majority of my compensation is at risk, because the numbers that you see are only realizable if we profitably grow the corporation. And that's the way it should be," he said.

Oil below $107 after US, Israel meet on Iran

SINGAPORE (AP) ? Oil prices hovered below $107 a barrel Tuesday in Asia after U.S. and Israel leaders met to discuss growing tensions over Iran's nuclear program.

Benchmark oil for April delivery was up 13 cents to $106.85 at late afternoon Singapore time in electronic trading on the New York Mercantile Exchange. The contract rose 2 cents to settle at $106.72 per barrel in New York on Monday.

Brent crude was down 6 cents at $123.74 per barrel in London.

After a meeting Monday in Washington, President Barack Obama and Israeli Prime Minister Benjamin Netanyahu showed no sign of give on competing ways to resolve the crisis. Obama urged pressure and diplomacy to prevent Iran from getting a nuclear bomb while Netanyahu emphasized his nation's right to a pre-emptive attack.

The U.S., Europe, Israel and other nations fear that Iran may be building a nuclear weapon. Iran, the world's third-largest oil exporter, denies the charge.

"The Iranian fear premium didn't change in our view," energy consultant Ritterbusch and Associates said in a report.

Crude has risen from $96 last month amid investor concern that a military conflict aimed at destroying Iran's nuclear capabilities would disrupt global oil supplies. Analysts say Saudi Arabia and other oil producers do not have enough spare capacity to quickly make up for Iran's 4 million barrels a day of crude.

Analysts estimate crude would jump to $150 in the wake of an attack by Israel on Iran's nuclear operations.

"The risk of a supply disruption due to geopolitical factors is uncomfortably high and increasing," said Richard Soultanian of NUS Consulting.

In other energy trading, heating oil fell 0.2 cent to $3.22 per gallon and gasoline futures were up 0.2 cent at $3.26 per gallon. Natural gas fell 0.4 cent at $2.35 per 1,000 cubic feet.

Ford CEO says no plans for alliances in Europe

GENEVA (Reuters) - Ford Motor Co has decided not to pursue any alliances this year with other carmakers in Europe, where it may lose up to $600 million, even as rival General Motors Co joins forces with France's Peugeot in hopes of riding out the region's debt crisis and depressed auto market.

Instead of forming alliances, Ford will continue "to match production with real demand" in Europe, a strategy that has helped the automaker stay profitable in other regions, CEO Alan Mulally told Reuters on Monday.

Mulally, who spoke before the start of the Geneva Auto Show, said the company continually looks "for areas where we might share technology, where we have common interests."

GM last week announced a pact to share purchasing and vehicle development costs with PSA Peugeot Citroen

"We have no plans for any other alliances," Mulally said, when asked about possible tie-ups with European carmakers.

Ford overall lost $190 million in the fourth quarter of 2011. For all of last year, it lost $27 million in Europe.

Last week, Chief Financial Officer Lewis Booth said Ford could lose between $500 million and $600 million in Europe this year if overall auto sales in the region come in at 14 million vehicles - which would be an 8.5 percent decline from 2011.

Still, Booth, who is retiring on April 1, said Ford is not likely to enter into platform-sharing and vehicle-development alliances because of the "One Ford" ethos that has been pushed by Mulally since be became CEO in 2006.

"One Ford" is the automaker's strategy to unify its once-disconnected business units and take advantage of its scale to drive down costs and build a global brand.

"The only alliance that Ford is working on is making One Ford work," Booth said at the Ford Geneva event. But he agreed with Mulally that Ford will continue to look at possible alliances regarding technology in its vehicles.

BREAK-EVEN IN EUROPE

GM hopes its own alliance will shore up its money-losing European unit, Opel. As part of the deal, GM will take a 7 percent stake in Peugeot, the second-largest European automaker.

Each company said it will not cut jobs or close plants in Europe, which has left many analysts skeptical of how the deal can save GM money.

Ford, the No. 2 U.S. automaker, has its own alliance with Peugeot, which is to make diesel engines. Unlike in its home U.S. market, diesel engines dominate in Europe.

"We also treasure our relationship with PSA," said Mulally, using the shorthand for Peugeot. "It's been mutually beneficial for both of us."

Ford sells vehicles in 19 markets in Western Europe. Last year, Ford's European sales were 1.26 million vehicles, roughly flat with 2010 levels. In those 19 countries, the industry sold 15.28 million vehicles, Ford said.

Mulally said Ford's European unit "is really in a different place than some of our competitors" because the automaker has been aligning production with demand for several years.

Booth said that Ford has a "relatively high break-even" point in Europe of between 15 million vehicles and last year's Western European total sales of 15.3 million.

Ford executives would not predict the automaker's financial performance in Europe beyond 2012. In 2011, Ford's market share was 8.3 percent in its key Western European markets, about flat with 2010.

This film is distinctly minor league. But it does provide the thumbs-up emotional lift of a bumper-sticker message on game day.

It's a credit to directors Daniel Lindsay and T.J. Daniels that the personal stories of the kids and coaches resonate more than the wins and losses.

Undefeated is undeniably inspirational stuff.

For the most part admirably chooses honest documentation over emotional manipulation.

"Undefeated" is an emotional and effective film, and I'm happy for it.

I wanted it blow my mind, to flatten me. Demanding, I know.

This is one of the best sports documentaries of the last few years and while I don't think it should have won in a VERY good year for non-fiction film, I'm really not upset at all that it did.

Finds the warmth and vulnerability that is sometimes hard for outsiders to see beneath the rough, damaged exterior of the impoverished Memphis neighborhood where much of the action takes place.

Undefeated does more to draw a straight line between the desire to win (as opposed to actually winning) and the character of a man than a thousand locker room pep talks.

This year's Oscar winner for Best Documentary Feature seems almost too good to be true...but that's what makes it so effective.

Has a huge heart. There won't be a dry eye in the crowd.

Should be required viewing of anyone who is committed to becoming a teen athlete -- or a coach of one.

If you can get through this movie dry-eyed, you are made of sterner stuff than I.

Forget about "Blind Side". This is the real deal, a stirring documentary about high school football that will move you to tears.
